Global Matters – Terms & Conditions

Please read these Terms and Conditions (“T&C”) carefully. By accessing or using the Global Matters website (the “Site”), you agree to be bound by these Terms, which govern all use of this Site. If you do not agree, you must refrain from using the Site. These Terms constitute a legal agreement between you (the user of the Site) and Global Matters (referred to as “Global Matters”, the “Company”, “we”, “us” or “our”). The Site is owned and operated by Global Matters and is intended to provide information about our business process management and outsourcing solutions, including services in legal compliance, finance and accounting outsourcing, reinsurance support, shared services, AI-driven platforms, and geospatial analytics (collectively, our “Services”). Use of the Site is subject to these Terms, our Privacy Policy (incorporated herein by reference), and all applicable laws and regulations.

By accessing the Site, you represent that you have read and understood these Terms and agree to abide by them. If you are using the Site on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf. We may update or modify these Terms from time to time as described in the Changes to Terms section below. It is your responsibility to review these Terms periodically for changes.

1. Eligibility

You must meet the following eligibility criteria to use this Site:

  • Legal Age: You are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to form a binding contract. If you are under 18, you may use the Site only with the involvement of a parent or guardian.

  • Intellectual Property Infringement: You must not upload or transmit any content that infringes or violates the intellectual property rights or other rights of any party. This means you will not post material that you do not have the right to make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed under nondisclosure agreements).
  • Spam and Unsolicited Promotions: You must not use the Site to transmit or facilitate the distribution of unsolicited mass email or other forms of spam, junk mail, chain letters, or pyramid schemes. Advertising or promotional content is prohibited on or through the Site, except where expressly permitted (for example, if the Site has areas specifically designated for posting promotional content, which is unlikely unless explicitly provided by us).
  • Malicious Code: You must not introduce or transmit any software viruses, worms, Trojan horses, logic bombs, or any other malicious or technologically harmful code or programs through the Site. You also agree not to take any action that imposes an unreasonable or disproportionately large load on our infrastructure or that of our service providers.
  • Interference with Others’ Use: You will not interfere with or disrupt the proper functioning of the Site or any servers or networks connected to the Site. This includes not interfering with other users’ use and enjoyment of the Site, and not attempting to disable or circumvent any security or access controls of the Site.
  • Automated Access: You agree not to use any robot, spider, scraper, crawler, or other automated means to access the Site or extract data (such as another user’s information) without our express written permission. You also shall not use or develop any third-party applications that interact with the Site or other users’ content or information without our written consent.
  • Violations of Terms: You will not solicit or encourage any violation of these Terms or assist others in engaging in any prohibited activities. If you become aware of any unauthorized or suspicious activity on the Site, you agree to notify us promptly.

We reserve the right (but not the obligation) to monitor any user’s use of the Site and any content posted or transmitted through the Site. We may remove or edit any user-submitted material that, in our sole discretion, violates these Terms or is otherwise objectionable. Any violation of the above rules may result in suspension or termination of your access to the Site (as detailed under Termination of Access below) and may also expose you to civil and/or criminal liability.

4. Confidentiality and Communications

No Confidential Treatment: Except as otherwise provided in our Privacy Policy, any communication or material you send to us through the Site (such as via a contact form, email, or chat feature) is provided on a non-confidential basis. You should not send any sensitive personal information, confidential business information, or proprietary information through the Site unless a specific feature is marked as secure or we have separately agreed in writing to receive it confidentially. Global Matters is under no obligation to treat unsolicited information you send us as confidential. If you send us any ideas, proposals, or feedback regarding our Services or business (“Feedback”), you acknowledge that such Feedback is not confidential and that we may use it freely without compensation or attribution to you. For example, if you send emails to us containing malicious or illegal content, we may report such communications to the appropriate authorities and take any other action we consider appropriate.

Email and Response Policy: While we endeavor to reply to legitimate inquiries promptly, Global Matters does not guarantee that we will respond to every message we receive. If you provide us with an email address or other contact information, we may use it to communicate with you for customer service, to send you information you requested, or to provide notices as described in the Notices section below. However, we do not guarantee any specific turnaround time for responses. Inappropriate or misdirected emails (for instance, emails not intended for our Company or sent to an incorrect email address) may be ignored or deleted without a response. We also reserve the right to retain or dispose of communications at our discretion. We will not, however, disclose any personal information about our employees, officers, or contractors in our correspondence with you, other than as necessary and in accordance with our Privacy Policy.

5. Ownership and Intellectual Property

Company Content: All content and materials available on the Site – including but not limited to text, data, documents, articles, white papers, graphics, logos, icons, images, audio or video clips, software, code, interface elements, and overall design – are the property of Global Matters or its licensors and are protected by copyright, trademark, and other intellectual property laws. Global Matters retains all rights, titles, and interest in and to the Site and its content. Your use of the Site does not grant you any ownership rights or any other intellectual property rights in our Site content, except for the limited usage rights expressly provided in these Terms. You must abide by all copyright notices, trademark rules, and other legal restrictions contained on the Site.

Permitted Use of Materials: You may download or print content from the Site only for your personal use or internal business purposes, and only if you do not remove or obscure any copyright, trademark, or other proprietary notices. Any such copies must preserve all proprietary markings. This includes not using any meta tags or other hidden text utilizing Global Matters’ name or Marks without authorization. You recognize that “Global Matters” and all related logos and names are protected trademarks of the Company and its affiliates. You agree not to display or use the Marks in any manner not permitted by us.

Any unauthorized use of the Site’s materials is strictly prohibited and may violate copyright laws, trademark laws, patent laws, and other regulations. Global Matters reserves all rights not expressly granted in these Terms.

Third-Party Content: In some cases, our Site may include content provided by third parties or references (such as industry news, expert opinions, articles, or blog entries authored by contributors outside Global Matters). Where such third-party content is used or reproduced on our Site, it is typically accompanied by attribution to the source or author. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such case, any warranties required by law are limited in duration to 30 days from the date of first use of the Site, and no warranties shall apply after that period.

If, notwithstanding the above exclusions, Global Matters is found liable for any claim arising from or related to your use of the Site or these Terms, our aggregate liability for all such claims shall not exceed the total amount you have paid to Global Matters for any Services (if applicable) in the six (6) months immediately preceding the event giving rise to the liability. This limitation shall apply even if any limited remedy provided in these Terms is deemed to have failed in its essential purpose.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not fully apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Global Matters, its parent company, subsidiaries , and affiliates, and their respective officers, directors, employees, agents, partners, and licensors (collectively, the “Indemnified Parties”), from and against any and all claims, demands, causes of action, losses, liabilities, damages, judgments, or expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

  • Your Use of the Site: Any use or misuse of the Site or its content by you, including any actions you take based on information obtained through the Site.
  • Violation of Terms: Your breach or alleged breach of these Terms or any other agreement with Global Matters.
  • Violation of Law or Rights: Your violation of any law, regulation, or the rights of any third party in connection with your use of the Site. This includes any claim that content you submitted to us (for example, via a contact form or any future interactive feature) infringes or violates the intellectual property, privacy, confidentiality, or other rights of a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such a case, you agree to cooperate with our defence of that claim and you will not settle any such matter without the prior written consent of Global Matters. Your indemnification obligations will survive any termination of your relationship with Global Matters or your use of the Site. This means even after you stop using the Site or after these Terms end, you will still be responsible for indemnifying us for liabilities related to things that occurred during your use of the Site or violations of these Terms.

10. Termination of Access

Suspension or Termination by Company: Global Matters reserves the right to suspend or terminate your access to the Site (or certain features of the Site) at any time, with or without notice, and with or without cause. We may take such action if we believe, in our sole discretion, that you have violated these Terms, you pose a security risk or risk of intellectual property infringement, or for any other reason that we deem appropriate to protect our interests or those of other users. We will not be liable to you or any third party for any termination or suspension of your access to the Site.

Your Right to Stop Using the Site: You may cease using the Site at any time if you do not agree with these Terms or any changes to these Terms. If you have created any account or profile on the Site and wish to terminate it, you should follow the instructions provided on the Site (if such functionality exists) or contact us to request account deletion.

Effect of Termination: Upon any termination of your access to the Site for any reason: (a) these Terms shall terminate as an agreement between you and us, except that the following provisions will survive and continue to apply: Ownership and Intellectual Property, Disclaimers and Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and Miscellaneous (including Entire Agreement, Waiver, Severability, etc.), as well as any other provisions that by their nature should survive termination; and (b) you must immediately discontinue all use of the Site. Any licenses or rights granted to you under these Terms will cease at the time of termination.

No Access After Termination: After termination, you will not attempt to access or use the Site under any new name or real or assumed identity, and we reserve the right to take appropriate measures to block or prevent your future access if necessary.

Termination of these Terms or your access to the Site does not waive or affect any right or relief to which Global Matters may be entitled at law or in equity, nor will it affect any accrued rights or liabilities of either party as of the date of termination.

11. Changes to the Terms

Global Matters reserves the right to modify, amend, or update these Terms at any time, at our sole discretion. If we make material changes, we will post the updated Terms on this page and update the “Last Updated” date at the top of the document. We may also, at our discretion, provide notice to you in other ways, such as via email (if you have provided us with an email address) or by means of a prominent notice on the Site.

It is your responsibility to review these Terms periodically for any updates or changes. The updated Terms will be effective as of the time of posting (or at a later date if indicated in the posting). By continuing to use the Site after any changes to these Terms are posted, you are indicating your acceptance of those changes. If you do not agree to a change, you must stop using the Site.

Global Matters shall not be liable to you or any third party for any such modification, suspension, or discontinuance of the Site or any portion of it.

If you have provided us with contact information, we recommend that you ensure it remains current so that you can receive any notices we may send about changes. However, regardless of whether we send a notice directly to you, changes to these Terms will be effective when posted as described above.

12. Governing Law and Jurisdiction

Governing Law:
These Terms and any dispute or claim arising out of or in connection with the Site or these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without giving effect to any conflict of law principles that may require the application of the law of a different jurisdiction.

Jurisdiction:
You agree that all disputes arising under these Terms or relating to your use of the Site shall be subject to the exclusive jurisdiction of the competent courts located in India. You expressly consent to the personal jurisdiction of such courts and waive any objections to such jurisdiction or venue (including any objection based on inconvenient forum). This means that if you wish to pursue any legal action against Global Matters, you will file such action in the courts of India, and likewise, any legal action we initiate against you will be brought in those same courts.

International Use Disclaimer:
Please note that if you access the Site from a location outside of India, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent such local laws are applicable. Global Matters makes no representation that materials on the Site are appropriate or available for use in other locations. Those who choose to access or use the Site from other jurisdictions do so at their own risk and are responsible for compliance with all local laws and regulations.

13. Miscellaneous

Entire Agreement: These Terms (together with our Privacy Policy and any other legal notices or terms expressly incorporated by reference) constitute the entire agreement between you and Global Matters regarding your access to and use of the Site. They supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding this subject matter. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms.

No Waiver: No failure or delay by Global Matters in exercising any right, power, or remedy under these Terms shall operate as a waiver of any such right or remedy. Likewise, any single or partial exercise of a right or remedy by us does not preclude any further exercise of that or any other right or remedy. Our waiver of any breach of these Terms will not constitute a waiver of any other provision or any later breach. To be effective, any waiver by Global Matters must be in writing and signed by an authorized representative of the Company.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, then that provision shall be eliminated or limited to the minimum extent such that the remainder of the Terms will continue in full force and effect.
